Terms of Service

Welcome to Stedify. These Terms of Service ("Terms") govern your access to and use of the Stedify platform, website, and related services (collectively, the "Service") operated by Stedify, Inc. ("Stedify," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a business or entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

Stedify is a software-as-a-service (SaaS) platform designed for service professionals, including but not limited to lawn care, cleaning, plumbing, HVAC, electrical, and other home and commercial service providers. The Service provides tools for scheduling, client management, invoicing, payment processing, and team coordination. Stedify does not sell physical goods.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration and Security

4.1. To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@stedify.app of any unauthorized use of your account.

4.3. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Subscription Plans and Fees

5.1. Stedify offers the following subscription tiers:

• Solo: $29 per month — Designed for independent service professionals.
• Scale: $59 per month — Designed for growing businesses with team members.
• Enterprise: $149 per month — Designed for established operations requiring advanced features.

5.2. All subscription fees are billed monthly in advance on a recurring basis. Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date.

5.3. Stedify does not currently offer a free trial. All subscriptions begin immediately upon sign-up and are billed in advance. We may introduce a free trial program in the future, in which case updated terms will be communicated prior to activation.

5.4. We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

5.5. All fees are exclusive of applicable taxes, which you are responsible for paying.

6. Payment Processing

6.1. Payment processing is handled by Stripe, Inc. ("Stripe"), a third-party payment processor. By using the Service, you agree to be bound by Stripe's terms of service and privacy policy.

6.2. You authorize us to charge the payment method associated with your account for all applicable fees.

6.3. If a payment fails, we may suspend your access to the Service until the outstanding balance is resolved.

7. Cancellation and Refunds

7.1. You may cancel your subscription at any time through your account settings or by contacting us at support@stedify.app.

7.2. Upon cancellation, you will retain access to the Service through the end of your current billing period. No prorated refunds are provided for unused portions of a billing period.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Transmit any harmful, threatening, abusive, or otherwise objectionable content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service for any purpose other than its intended business use.
• Reverse engineer, decompile, or disassemble any portion of the Service.

9. Intellectual Property

9.1. The Service, including its software, design, text, graphics, logos, and all other content, is the property of Stedify, Inc. and is protected by copyright, trademark, and other intellectual property laws.

9.2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

9.3. You retain ownership of any data or content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to use, store, and process it as necessary to provide the Service.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review it carefully.

11. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Stripe for payment processing). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is at your own risk and subject to their respective terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

13.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEDIFY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

13.2. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Stedify, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

15.1. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

15.2. Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination by contacting support@stedify.app.

15.3. Sections 9, 12, 13, 14, 16, and 17 shall survive termination of these Terms.

16. Governing Law and Dispute Resolution

16.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to be conducted in the State of Delaware.

16.3. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

18. Miscellaneous

18.1. Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Stedify regarding the Service.

18.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3. Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

18.4. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
